Event Description
Risks to corporations from criminal and civil government enforcement actions have risen steadily over the years. Directors have a duty of oversight to see that their corporations are operating within the law and that they have robust compliance programs in place to reduce the risk that they will engage in unlawful activities. This panel will discuss trends in government enforcement against corporations, and how directors can help both their corporations and themselves to avoid criminal and other liability.

Evelyn Cruz Sroufe is a securities partner with the law firm Perkins Coie, and a frequent speaker and author on corporate governance issues. Ms. Sroufe also serves as a board member of the Virginia Mason Healthcare System.
Ms. Sroufe is past director of Willamette Industries, Inc., Portland, OR, and Past President and CEO of The WebSea Group, Inc. She was a Vice President with Microsoft Corporation and a Senior Vice President of Worldwide Operations with Visio Corporation.

Alexis Dow, CPA has more than 30 years diversified management experience, including 10 years auditing at PricewaterhouseCoopers, and 18 years as board member and audit committee chair for Longview Fibre Company, then a NYSE manufacturing company. For 12 years, she served as the elected auditor for Metro, the Portland region’s elected government. She has received eight top national awards, including best audit report and best innovative project. Alexis served as the 2007-2008 National Chairman of Financial Executives International. She is a member and former Board member of the Oregon Society of CPAs, Audit Committee Chair and Board member of the Oregon Heath Sciences University Medical Group and a member of the Audit Committees of the Multnomah Athletic Club and the Energy Trust of Oregon.
